This website is owned and operated by Victoria Ventures LLP, trading as maternalshop.com, maternalshop.co.uk, maternalguide.com, maternalmagazine.com, maternalnews.com  ("Maternalshop.com”  “Victoria Ventures LLP” "we" "us") its website(s) (our "Site" or "Sites") and related services are made available to you pursuant to the following Terms of Use & Service and any other rules posted on our Sites (collectively, the "TOS"). The company is registered under the Registrar of Companies in England and Wales under Company Number OC353663. Please read the TOS carefully before placing any orders on our Sites. It is recommended that you should keep a copy of the TOS for future reference.
We may modify the TOS from time to time. Any changes made after you have placed an order will not affect that order however, unless we are required to make the change by law. Whilst we are happy to consider requests for products and enquiries from outside the United Kingdom, we give no representation or warranty, express or implied that the use of this website or the placing of any order through this website from outside the UK complies with any applicable non-UK laws or regulations. Accordingly, any products or promotions not permitted under your local law are not offered to you.

To use some of the services or features made available to you on this Site, you will need to register. When you register, you are required to provide information about yourself that is true, accurate, current and complete in all respects. We may change registration requirements from time to time.
ELIGIBILITY TO PURCHASE
In order to make purchases through the Site, you will be requested to register and provide your personal details. In particular, Customers must provide their real name, phone number, e-mail address and other requested information as indicated. Furthermore, when ordering items, you will be required to provide payment details and you represent and warrant that the payment details you provide on ordering are both valid and correct and you confirm that you are the person referred to in the Billing information provided.
The Site is available only to individuals and others who have been issued a valid credit card by a bank acceptable to us, who have authorised us to process a charge or charges on their credit card in the amount of the total purchase price for the merchandise which they purchase. Maternalshop.com reserves the right to restrict multiple quantities of an item being shipped to any one customer or postal address.
By making an offer to purchase merchandise, you expressly authorise us to perform credit checks and, where Maternalshop.com feels necessary, to transmit or to obtain information (including any updated information) about you to or from third parties from time to time, including but not limited to your credit-card number or credit reports (including credit reports for your spouse if you reside in a community property jurisdiction), to authenticate your identity, to validate your credit card, to obtain an initial credit card authorisation and to authorise individual purchase transactions.
Furthermore, you agree that we may use Personal information provided by you in order to conduct appropriate anti fraud checks. Personal Information that you provide may be disclosed to a credit reference or fraud prevention agency, which may keep a record of that information.

ORDERS
By placing an order with us you will be deemed to have read, understood and agreed to these Terms and Conditions. If you are unhappy with any aspect of these, then you should contact us before placing an order. All orders are subject to acceptance and availability.
Orders placed by you are an offer to purchase and will be accepted by us subject to stock availability at the stated prices, and subject to your payment having been received by us in full. We require full payment for the goods before your order can be accepted. Once your payment has been received by us, we will send an e-mail to your stated e-mail address to confirm our acceptance of your order. Upon acceptance of your order, dispatch will be arranged to your address.
We will be pleased to accept orders provided that they are for the personal, non-commercial use by our customers. We will not accept orders which are intended for resale or distribution for commercial purposes.
Maternalshop.com offers products for sale that are in stock and available at the moment of your order. Occasionally, however, we may have to reorder an item/items you have placed an order from our suppliers. This is due to the fact that our systems are updated bi-weekly and there might be a lag effect between the stock at hand and the displayed availability on the Site. Consequently there might be an additional delay from time to time in the dispatching of your order. We will ensure that you are properly notified if your selected items are not immediately available. Should the additional delay indicated not satisfy your needs, you may by notifying us in writing within 24hours of receiving the notice cancel your transaction with us and we will refund your credit card promptly thereafter should we already have charged you.
Please note that items in your shopping basket are not reserved and may be purchased by other customers.
PRICING POLICY
Prices shown on the Site are in GBP and are inclusive of VAT at the applicable rate.
All prices and offers remain valid as advertised from time to time. The GBP price of a product displayed on the Site at the time the order is accepted will be honoured, except in cases of patent error.
Product prices are set from time to time using existing currency exchange rates when suppliers are based overseas. These prices are subject to change if the applicable currency exchange rate changes before your order is accepted or the items are subject to markdowns at any time during the selling period.
If you are a customer whose credit card is not denominated in Sterling, the final price will be calculated in accordance with the applicable exchange rate on the day your credit card company processes the transaction.
ACCEPTANCE OF YOUR ORDER
Once you have made your choice and your order has been placed, you will receive an email acknowledging the details of your order. This email is NOT an acceptance of your order, just a confirmation that we have received it.
Unless you cancel your order, acceptance of your order and completion of the contract between you and Maternalshop.com will be completed when we email you to confirm the goods have been despatched. The sale contract is therefore concluded in London, England and the language of the contract is English.
We reserve the right not to accept your order in the event, for example, that we are unable to obtain authorisation for payment, that shipping restrictions apply to a particular item, that the item ordered is out of stock or does not satisfy our quality control standards and is withdrawn, or that you do not meet the eligibility criteria set out within the TOS.
We may also refuse to process and therefore accept a transaction for any reason or refuse service to anyone at any time at our sole discretion. We will not be liable to you or any third party by reason of our withdrawing any merchandise from the Site whether or not that merchandise has been sold; removing, screening or editing any materials or content on the Site; refusing to process a transaction or unwinding or suspending any transaction after processing has begun.
CANCELLATION BY US
We will aim to fulfil your orders to the best of our ability. However, we reserve the right to cancel the contract between us if one or other of the following circumstances apply:
we do not have sufficient stock to deliver the goods you have ordered.
we do not deliver to your area or country
In the event of cancellation, we will contact you by e-mail, and will re-credit your account as soon as possible, and in any event within 30 days of your order being placed.
YOUR RIGHT TO CANCEL
You may normally cancel your order (once accepted by us) for any reason up to the point of despatch (normally the same day or next day). If you do cancel the contract within this time, any payments made by you will be refunded in full within 30 days.
RETURNS POLICY
If you are not entirely satisfied with the products that you have chosen, you may return them to us within 14 days of receipt. We will be more than happy to offer you an exchange or, at our option, a refund provided that the products are returned complete, in perfect condition, unused, and with the original packaging.
MAKING RETURNS
For all returns, except where the item is faulty, you will be required to arrange and pay for the return of the products to us. Please note that we are unable to refund return postage. We will only refund or provide an exchange for the costs of postage where the item returned is faulty. We strongly recommend you obtain a free 'Certificate of Posting' from the post office, as we cannot accept responsibility for parcels lost in transit. You may want to send the goods Recorded Delivery but must also do so at your own charge. You may want to make sure you have sufficient insurance cover, especially when returning valuable products.
GIFT RETURNS
Refunds for items bought as gifts can only be given to the original purchaser. If you decide to exchange an item, the purchaser will be informed. If you buy the products as a Christmas gift (between 1 November and 25 December) you have 30 days to return it.
RECEIVING A REFUND
Your refund will either be credited to the original purchaser's credit card and will exclude shipping costs (with the exception of faulty items) which we deduct to cover the cost of our collection service.
 
FAULTY GOODS
Goods are faulty if they are received damaged or where a manufacturing fault occurs within six months of purchase. Please note that items that are damaged as a result of normal wear and tear are not considered to be faulty.
If you would like to exchange a faulty item (instead of obtaining a refund), please be aware that we can only replace it for the same product in the same size, subject to availability. Where possible, we will offer to repair faulty items. If it cannot be repaired or the same product is not available, you are entitled to a full refund.
UK DELIVERY
Stock permitting, all orders are usually despatched within 24 working hours (weekdays), to arrive with UK customers within 5 working days through registered mail (Parcelforce/Royal Mail). In the event that an item is temporarily out of stock, we will notify you of the delay and despatch it as soon as possible. We offer free postage on goods over £75 within the UK mainland only. Overseas posting is charged at an additional cost. Returns postage is not included.
We aim to hold stock of all styles and sizes whilst a product is active. However, an item will occasionally be out of stock, and we will do our best to notify you as soon as possible about delivery timings or alternatives.
CONFORMITY OF GOODS
We take every care to ensure that the descriptions and specifications of our products are correct at the time of going online. However, while the colour reproduction of the products is a close likeness, we cannot accept any responsibility for any variation in colour caused by the browser software or computer system used by you.
PAYMENT
Payment can be made by Visa, Visa Electron, MasterCard, Delta, and Maestro debit cards and any other methods which may be clearly advertised on the Site from time to time. Payment will be debited and cleared from your account upon dispatch of your order by Maternalshop.com. You confirm that the credit/debit card that is being used is yours or that you have been specifically authorised by the owner of the credit/debit card to use it. All credit/debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to authorise payment to us, we will not be liable for any delay or non-delivery.
We take all reasonable care to make our Site secure. All credit card transactions on this site are processed using Paypal payment and card solution (You do not need a Paypal account to purchase, only a payment card) integrated through our Ecommerce provider EKM Powershop, a secure online payment gateway. If you are a registered Maternalshop.com user, we will securely store your credit card details on our systems. These details will only be used to process card transactions which you have initiated.
Any customs or import duties levied once the package reaches your destination country will be your responsibility as we have no control over these charges and cannot predict them. We endeavour to display through this website all items in our current range.
Furthermore, we will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of negligence on our part we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from the Site.
INSURANCE AND DELIVERY
Maternalshop.com insures each purchase during the time it is in transit until it is delivered to your specified delivery address. We require a signature for any goods delivered, at which point responsibility for your purchased goods passes to you. If you have specified a recipient who is not you for delivery purposes (for example as a gift) then you accept that evidence of a signature by them (or at that delivery address) is evidence of delivery and fulfilment by Maternalshop.com and transfer of responsibility in the same way.
Please note that we aim to dispatch all orders within 48 hours. Occasionally, however, we may have to reorder an item/items you have placed an order from our suppliers. Estimated delivery times are to be used as a guide only and commence from the date of dispatch. Maternalshop.com are not responsible for any delays caused by destination customs clearance processes or due to our logistics/shipping partners.
 
INTELLECTUAL PROPERTY RIGHTS
Your use of the Sites and its contents grants no rights to you in relation to any copyright, designs, trademarks and any other intellectual property and material rights relating to the Content (as described in the Content section below), including all HTML and other code contained in this Site. All such Content, including third party trademarks, designs and related intellectual property rights mentioned or displayed on this Site are protected by national intellectual property and other laws and international treaty provisions. You are permitted to use the Content only as expressly authorised by Maternalshop.com and/or its third party licensors. Any reproduction or redistribution of the above listed Content is prohibited and may result in civil and criminal penalties. Without limiting the foregoing, copying and use of the above listed materials to any other server, location or support for publication, reproduction or distribution is expressly prohibited.

In addition to the Intellectual property rights mentioned above, "Content" is defined as any graphics, photographs, including all image rights, sounds, music, video, audio or text on this Site. Victoria Ventures LLP tries to ensure that the information on this site is accurate and complete. Victoria Ventures LLP does not promise that this site’s Content is accurate, error-free. Victoria Ventures LLP does not promise that the functional aspects of the Site or Victoria Ventures LLP Content will be error free or that this Site, Victoria Ventures LLP Content or the server that makes it available are free of viruses or other harmful components. We always recommend that all users of the Internet ensure they have up to date virus checking software installed.
NO COMMERCIAL USE
This Site is for your personal, non-commercial use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, commercially exploit, create derivative works from, transfer, or sell any Content, software, products, or services contained within this Site. You may not use this Site, or any of its Content, to further any commercial purpose, including any advertising or advertising revenue generation activity on your own Site.
YOUR ACTIVITY
You agree that you will be personally responsible for your use of this Site and for all of your communication and activity on and pursuant to this Site. Victoria Ventures LLP has not reviewed all of the sites linked to its Web Site and is not responsible for the content or accuracy of any off-site pages nor are we responsible for the availability of such external websites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external websites or resources.
LIMITS ON OUR LIABILITY
Nothing in the TOS is intended to affect your rights under the law (see "Your Rights" above).
If Victoria Ventures LLP breaches the TOS we shall only be liable for losses which are direct losses and a reasonably foreseeable consequence of such a breach. Losses are foreseeable where, for example, they could be contemplated by you and Victoria Ventures LLP at the time of you placing your order, and Victoria Ventures LLP despatching your order. We shall only be liable for losses up to 150% of the total value of goods purchased.
We are not responsible for losses not caused by our breach or negligence, indirect losses which are a side effect of the main loss or damage and which are not reasonably foreseeable by you and us (for example, loss of profits or loss of opportunity).
We are also not responsible for failure to meet any of our obligations under the TOS where such failure is due to events which beyond our reasonable control.
COMPENSATION
At our request, you agree to compensate us fully, defend us and hold us Victoria Ventures LLP harmless immediately on demand, its officers, directors, agents, affiliates, licensors, and suppliers, from and against all liabilities, claims, expenses, damages and losses, including legal fees, arising from any breach of the TOS by you including the use by any other persons accessing this Site using your Internet account caused by your action or inaction.
OUR RELATIONSHIP
You acknowledge and agree that no joint venture, partnership, employment, or agency relationship exists between you and Victoria Ventures LLP as a result of the TOS or your use of this Site. You agree that you may not and will not hold yourself out as a representative, agent, or employee of Victoria Ventures LLP, and we shall not be liable for any representation, act, or omission on your part.
EVENTS BEYOND OUR CONTROL
We will not be in breach of this agreement or otherwise liable for any delay in performance if to the extent that any delay or failure results from circumstances beyond our reasonable control including, without limitation, strikes, lockouts and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.
DATA PROTECTION
Victoria Ventures LLP will not distribute any of your personal data to any third party. The data will solely be kept for internal purposes.
NO WAIVER
If you breach the TOS and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach the TOS.
GOVERNING LAW
The TOS together with all our policies and procedures will be governed by and construed in accordance the relevant United Kingdom law and the relevant courts of the United Kingdom will have exclusive jurisdiction.
